🚨OpenAI to Remain Under Non-Profit Control Now?!

OpenAI’s non-profit organization will still maintain control as the “capped profit” framework transitions into a Delaware Public Benefit Corporation (PBC).

Key Details:

  • OpenAI was founded as a non-profit organization until it added a “capped profit” framework called OpenAI LP in 2019. In other words, OpenAI created a money-making company within the original non-profit organization.

  • OpenAI LP allowed investors a capped return if OpenAI succeeded. However, any money made beyond that capped return was funneled back into the non-profit organization.

  • OpenAI recently secured a $40 billion Series F funding round at a $300 billion valuation. However, it was contingent on OpenAI restructuring into a Delaware PBC that’s no longer controlled by a non-profit Board of Directors (BofD), which removes the capped return.

  • Intense backlash highlighted that restructuring would benefit OpenAI’s investors at the public’s expense, transitioning OpenAI into a closed-source, fully for-profit enterprise that’s effectively controlled by the financial interests of investors.

  • Now, OpenAI plans to restructure OpenAI LP into a Delaware PBC that’s still controlled by a non-profit BofD. This new plan means OpenAI won’t try to become a fully for-profit enterprise anymore.

Why It’s Important:

  • After months of lawsuits, petitions, and protests, OpenAI quickly backtracked on any attempt to restructure into a fully for-profit enterprise.

  • What will happen with SoftBank Group Corp.’s $40 billion investment? Will they still invest despite OpenAI’s failure to remove the non-profit BofD?
